Member Agreement

1. Introduction

The Family Farmers Seed Cooperative. (“FFSC”) is a seed grower and seed seller owned business that exists to provide services to its members.

This Agreement helps to ensure that the Cooperative and the Member are in mutual agreement and understanding as to the terms and conditions of doing business together.

2. Requirements

All members must meet the eligibility requirements described in Article VII Section 1 of the Cooperative’s By-laws (See attached By-laws).

3.  Services

FFSC is owned by its members and exists to provide them services and benefits. The principal services and activities of FFSC is aggregation, marketing and sale of high quality open-pollinated, certified organic vegetable seed. FFSC also intends to continue to develop capacity for a quality assurance program (QA trials), through which all seed proposed for commercial sales will be screened.

4. Member classes, rights, privileges

Per the cooperative’s by-laws and board action, there are currently (3) classes of members with distinct rights and privileges. This agreement applies exclusively to Seed Grower and Seed Seller members as follows:

Seed Grower Member

A Seed Grower member must deliver at least one seed crop for FFSC on an annual basis; or perform variety or quality assurance trials as determined by the Board of Directors or General Manager; and/or pay an annual fee if and as determined by the Board of Directors. If the Seed Grower member does not comply with one of these requirements, the Seed Grower member will not be in good standing with the cooperative and will be considered inactive.

Grower members who comply with the above annual requirements are entitled to a 10% discount on seed on purchases through FFSC.  These seeds may be used for planting or re-selling.

Seed Grower members will retain a simple majority of seats on the Board of Directors

Seed Grower members are eligible for patronage dividends.

Seed Seller Member 

A Seed seller member must pay an annual fee if and as determined by the Board of Directors and/or conduct variety trials as determined by the Board of Directors. If the Seed Seller member does not comply with one of these requirements, the Seed Seed member will not be in good standing with the cooperative and will be considered inactive.

Seed seller members are entitled to a 10% discount on seed purchases. These seeds may be used for planting or re-selling.

Seed seller members have a minority number of seats on the Board of Directors

Seed seller members are not eligible for patronage dividends.

5. Membership fee

The current one-time membership fee for Seed Grower and Seed Seller members is $300.00. Membership fees are non-refundable, but are transferable by Board approval. Annual fees are set on an annual basis by the Board of Directors

The Member hereby attests and affirms to agree to and abide by the conditions and terms of this Agreement set forth above.
